Baldwins Holdings Ltd – on behalf of the Baldwins Accountants group – has acquired Berkeley Hamilton LLP (and its subsidiary PayeStaff Ltd). The Berkeley Hamilton partnership was advised by leading M&A specialist BCMS. The value of the deal is undisclosed.

Established in 1982, Berkeley Hamilton offers a range of tax, strategic planning and business solutions to small and medium businesses across the UK and abroad. Its successful subsidiary company PayeStaff Ltd, provides professional, accurate and responsive outsourced payroll support to over 400 clients.

Headquartered in Walsall, West Midlands, Baldwins is the Midlands’ largest, independent family-owned accountancy firm, with approximately 300 employees in 15 offices across the region. A dynamic, growing company, Baldwins was named as one the ‘Top 1000 Companies To Inspire Britain’ by the London Stock Exchange Group for 2015.

Perspectives on the deal

David Baldwin, a partner at Baldwins Accountants, said this was an exciting move for the firm: “Berkeley Hamilton is a well-established, large accountancy and business advice practice in Gloucester and we want to build on its experience, reputation and the excellent service it already provides to its clients,” he said.

“We will bring our significant expertise to complement the existing services offered to clients.  Our aim is to enhance Berkeley Hamilton’s existing high quality accounts and tax team and bring added value banking and corporate finance services to the team which will prove beneficial to their clients whether they are a sole trader or a blue-chip business.”

James Pugh of BCMS, who led the transaction, notes: “As a specialist business with a committed, loyal client base in sectors including motorsport, manufacturing and energy, Berkeley Hamilton was always a likely acquisition target. Financial services as a sector is currently experiencing strong Merger & Acquisitions activity, and BCMS secured widespread interest from the UK and overseas, ultimately negotiating with nine separate parties, including firms in France and Germany.
As a successful, highly professional family business, Baldwins is the perfect acquirer for Berkeley Hamilton. Baldwins has strong regional presence, track record of growth, and inclusive, dynamic approach. As a company, they have been a pleasure to negotiate with on behalf of our clients, who are rightly delighted with this mutually successful outcome.”

Robert Lewis of Berkeley Hamilton added: “I found that BCMS were extremely professional during the whole process of sale right through from fact finding to final completion. The Information Memorandum they produced and database of prospects used was key in generating a significant interest from not only the UK but across Europe and even down to South Africa. Our key contacts were Margot and James, who both provided an excellent service in their respective tasks. If you are thinking of selling your business I would thoroughly recommend using BCMS’s services.”
